Please read these Terms carefully before using the Services. By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms of Service ("Terms") govern your access to and use of theproductoperator.ai and app.theproductoperator.ai (collectively, the "Services"), operated by The Product Operator, a business operated by MLX Advisory LLC ("we," "us," or "our").
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
The Product Operator provides:
The Services are intended for business professionals. By using the Services you represent that you are at least 18 years old, have the legal capacity to enter into binding agreements, and have the authority to bind your organization where applicable.
Advisory and consulting services are professional services engagements. Specific terms, scope, deliverables, and fees are governed by separate engagement letters or statements of work executed between the parties, which supplement these Terms.
Advisory services represent professional judgment based on information available at the time of engagement. We do not guarantee specific business outcomes, financial results, investment returns, or exit valuations. All recommendations are made in good faith.
The Product Operator operates as an independent contractor. Nothing in these Terms or any engagement creates an employment, partnership, joint venture, fiduciary, or agency relationship.
We treat all client information, company details, deal information, and engagement-specific materials as strictly confidential. We will not disclose client information to third parties except as required by law, with your explicit written consent, or as necessary to deliver the Services.
Access to the Platform requires an approved access code or registration. We reserve the right to grant, deny, suspend, or revoke access at our sole discretion, with or without cause, at any time.
You are responsible for maintaining the confidentiality of your access credentials. You must notify us immediately of any unauthorized use of your account. You are liable for all activity that occurs under your credentials.
The Platform operates on a BYOK architecture. You are responsible for providing your own API key from Anthropic or other supported AI providers. You are solely responsible for all usage, associated costs, rate limits, and compliance obligations related to your API key and your provider's terms of service.
Your API key is encrypted at rest and in transit. We use your API key solely to execute Platform workflows at your direction. We do not use your API key for any other purpose, and we do not share, sell, or transfer it to any third party.
You agree not to use the Platform to:
We make reasonable commercial efforts to maintain Platform availability but do not guarantee uninterrupted, error-free operation. We may modify, suspend, or discontinue any aspect of the Platform with reasonable advance notice, except in cases of security threats or legal requirements where immediate action may be necessary.
The Platform's skill library, prompt architecture, playbook logic, orchestration methodology, workflow structures, and underlying system design are proprietary trade secrets and intellectual property of The Product Operator. Access to the Platform does not grant any right, license, or interest in this IP.
The following are the exclusive intellectual property of The Product Operator, protected by copyright, trade secret, and applicable intellectual property law:
You may not reproduce, copy, distribute, modify, adapt, translate, create derivative works from, publicly display, sell, sublicense, or otherwise exploit any of the foregoing without our express prior written consent.
The skill prompts, playbook architecture, and orchestration methodology constitute trade secrets. You acknowledge that unauthorized disclosure or use of these trade secrets would cause irreparable harm for which monetary damages would be an inadequate remedy. We reserve the right to seek injunctive relief in addition to all other available remedies.
You expressly agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, prompt text, prompt structure, workflow logic, or underlying methodology of the Platform or any component thereof. This prohibition applies regardless of whether such activities are permitted by applicable law.
You agree not to use any knowledge, outputs, structures, or methodologies observed or derived through your use of the Platform to design, develop, build, or contribute to any product, service, or tool that competes with or replicates the functionality of the Platform.
You retain full ownership of all content, data, and information you input into the Platform ("Your Content"). By using the Platform you grant us a limited, non-exclusive, revocable license to process Your Content solely for the purpose of delivering the Services to you. We do not use Your Content for any other purpose, including training AI models.
Outputs generated by the Platform using your API key and Your Content are yours to use for your internal business purposes, subject to the terms of service and usage policies of the underlying AI provider (including Anthropic's acceptable use policy). We make no warranties regarding the accuracy, completeness, or fitness for purpose of AI-generated outputs.
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
We will keep confidential all non-public information you share with us in connection with the Services, including company data, deal information, business strategies, and financial information. We will use such information solely to deliver the Services.
You agree to keep confidential all non-public information about the Platform, including its architecture, skill library, pricing, methodology, and business operations. This obligation survives termination of these Terms.
Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of these Terms, is independently developed without use of confidential information, or is required to be disclosed by law or court order (with prompt prior notice where permitted).
Fees for advisory engagements are set out in individual engagement letters. Platform access fees, if applicable, are communicated at the time of account approval. All fees are due as specified and are non-refundable unless otherwise expressly agreed in writing. We reserve the right to suspend access for non-payment.
These Terms remain in effect for as long as you use the Services or maintain an account.
You may terminate your use of the Services at any time by ceasing to use the Platform and notifying us at marc@theproductoperator.ai.
We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, engage in conduct harmful to the Services or other users, or for any other reason at our sole discretion.
Upon termination: your access to the Platform is immediately revoked; you must cease all use of our IP; we will delete or return Your Content as specified in our Privacy Policy; Sections 6, 7, 9.4, 10, 11, 12, 14, and 15 survive termination.
You agree to defend, indemnify, and hold harmless The Product Operator, its operators, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any third-party rights; (d) Your Content; or (e) your violation of any applicable law.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting the other party in writing and allowing 30 days for a good-faith resolution attempt.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
Any legal proceedings not resolved informally shall be brought exclusively in the state or federal courts located in New Jersey. You consent to personal jurisdiction in such courts.
Nothing in this Section limits either party's right to seek immediate injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including unauthorized use or disclosure of trade secrets or proprietary IP.
These Terms, together with our Privacy Policy and any applicable engagement letters, constitute the entire agreement between you and The Product Operator regarding the Services and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future. All waivers must be in writing to be effective.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Neither party is liable for delays or failures in performance caused by circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service failures, provided the affected party notifies the other promptly and makes reasonable efforts to resume performance.
These Terms do not create any third-party beneficiary rights.
Notices to us must be sent to marc@theproductoperator.ai. Notices to you will be sent to the email address associated with your account.
We reserve the right to update these Terms at any time. For material changes, we will provide at least 14 days' notice via the website or email before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
